The Management Board of Pawbol Sp. z o.o. in connection with the convening of the Annual General Meeting of Shareholders, pursuant to art. 402 \u00a7 3 of the Code of Commercial Companies and Partnerships, i.e. by registered letters or parcels sent by courier, hereby informs about the content of the notification sent to shareholders:<\/p>\n

CALL OF A REASONABLE CURRENT COLLECTION OF
\nPawbol S.A. with its registered office in Andrych\u00f3w<\/p>\n

The Management Board of Pawbol, a joint-stock company with its registered office in Andrych\u00f3w ( \u201e \u201d, acting on the basis of art. 395 k.s.h. in connection with from art. 399 \u00a7 1 of the Code of Commercial Companies and Partnerships, art. 402 \u00a7 3 of the Code of Commercial Companies and Partnerships and \u00a7 15 para. 1 of the Company’s Articles of Association, hereby convenes the Annual General Meeting of the Company as at June 30, 2023 at 12:00 at the headquarters of the Notary Office Marek Hrymak, Daniel Kupryja\u0144czyk s.c. in Warsaw at ul. Sienna 73, 00-833 Warsaw, with the following agenda:<\/p>\n

1. Opening of the Annual General Meeting.
\n2. Election of the Chairman of the Annual General Meeting.
\n3. Confirmation that the Annual General Meeting has been properly convened and its validity and ability to adopt resolutions.
\n4. Adoption of the agenda.
\n5. Consideration and adoption of resolutions regarding the approval of:
\na) the Company’s financial statements for the financial year from January 1, 2022 to December 31, 2022
\nb) the Management Board’s report on the Company’s operations for the financial year from January 1, 2022. until December 31, 2022,
\nc) report of the Supervisory Board.
\n6. Adoption of a resolution regarding the distribution of the Company’s profit.
\n7. Adoption of a resolution on granting discharge to the President of the Company’s Management Board in the performance of duties in the financial year from January 1, 2022 to December 31, 2022.
\n8. Adoption of a resolution regarding consent to the conclusion by the Company of a loan agreement with the President of the Company’s Management Board.
\n9. Adoption of a resolution regarding the appointment of a proxy to conclude a loan agreement with the President of the Company’s Management Board.
\n10. Adoption of a resolution on granting remuneration to Members of the Supervisory Board exercising their functions in the period from January 31, 2023 to May 29, 2023.
